Terms of Service

These terms govern your use of Querri. By creating an account or using the service, you agree to them. We have kept them short and honest, but they are still a contract, so please read them.

1. What Querri is

Querri is a software service that helps accounting, audit, and professional services firms request and collect documents from their clients. It is provided by Allison Labs (Pty) Ltd ("we", "us"), a company registered in South Africa.

2. Your account

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity under your account and for the actions of team members you invite to your organisation. Accounts are for firms and their staff; your clients do not need accounts and must not be required to create them.

3. The free trial

New organisations receive a 14-day free trial with full functionality. No payment details are required to start. At the end of the trial, continued use requires an active subscription.

4. Subscriptions and billing

  • Querri is billed as a subscription (monthly or annually) at the prices displayed at querri.co.za at the time you subscribe.
  • Payments are processed by Paystack. By subscribing you authorise recurring charges to your chosen payment method.
  • Prices may change with at least 30 days' written notice. Changes never apply retroactively, and founding-customer pricing commitments we make in writing are honoured.
  • You can cancel at any time from your settings. Cancellation takes effect at the end of the current billing period; we do not offer pro-rata refunds for partial periods, except where required by law.

5. Your data and your clients' documents

  • Everything your firm and your clients put into Querri (engagements, requests, uploaded documents) belongs to you and your clients, not to us. We claim no ownership of it.
  • We process it only to provide the service, as described in our Privacy Policy.
  • You are responsible for ensuring you have the right to request and receive the documents you collect through Querri, and for complying with your own professional and legal obligations (including POPIA) in respect of your clients' information.
  • After cancellation, your data remains available for export for 30 days, after which it is deleted.

6. Acceptable use

You agree not to use Querri to:

  • collect documents or information you are not lawfully entitled to request;
  • upload or solicit malicious files, or attempt to breach, probe, or overload the service;
  • send requests to people who have no relationship with your firm (Querri is not a bulk outreach tool);
  • resell or white-label the service without our written agreement;
  • infringe any law or the rights of any person.

We may suspend or terminate accounts that violate these terms. Where practical, we will warn you first.

7. Service availability

We work hard to keep Querri available and performing well, but we do not guarantee uninterrupted service. We may perform maintenance, updates, and improvements, and will aim to minimise disruption. We recommend you download completed engagements for your own records. Your working papers should live in your audit file, with Querri as the collection layer.

8. Security

We implement reasonable technical and organisational measures to protect the service and the data in it, as described in our Privacy Policy. You are responsible for the security of your own devices and credentials, and for promptly removing team members who leave your firm.

9. Intellectual property

Querri (the software, design, and brand) is owned by Allison Labs (Pty) Ltd. Your subscription grants you a limited, non-exclusive, non-transferable right to use it for your firm's internal business purposes while your subscription is active.

10. Limitation of liability

To the maximum extent permitted by law:

  • Querri is provided "as is" and we disclaim implied warranties.
  • We are not liable for indirect, consequential, or special damages, or for loss of profits, data, or goodwill.
  • Our total aggregate liability for any claim arising out of the service is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these terms limits liability that cannot be limited under South African law, and nothing in these terms limits your rights under the Consumer Protection Act where it applies.

11. Professional responsibility

Querri is a tool. It does not perform your engagements, review your evidence, or discharge your professional duties. Responsibility for audit, accounting, and professional judgements, including the sufficiency and appropriateness of documents collected, remains entirely with your firm.

12. Termination

You may stop using Querri and cancel at any time. We may terminate or suspend access for material breach of these terms, and will give notice and an opportunity to remedy where reasonable. Sections that by their nature should survive termination (including 5, 9, 10, and 13) survive.

13. General

  • These terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction.
  • If any provision is found unenforceable, the rest remain in effect.
  • These terms, together with the Privacy Policy, are the entire agreement between us regarding the service.
  • We may update these terms; material changes will be notified to account holders by email at least 30 days before taking effect.
